These Terms of Service (“Terms”) govern your use of the website clicksmithpro.com (the “Site”) operated by Click Smith Pro (“Click Smith Pro,” “we,” “us,” or “our”) and, unless a separate written agreement applies, the digital marketing services we provide (the “Services”). By accessing the Site or engaging our Services you agree to these Terms. If you do not agree, do not use the Site or the Services.
1. Who We Serve
Click Smith Pro provides marketing services to locksmith businesses and related trades. The Site and Services are intended for business use by persons who are at least 18 years old and authorized to act on behalf of their business.
2. Services
Our Services may include Google Ads and pay-per-click management, Local Services Ads management, search engine optimization, Google Business Profile optimization, website design and development, reputation management, social media marketing, and related consulting. The specific scope, deliverables, fees, and term of any engagement are set out in a proposal, order form, or service agreement (“Service Agreement”). If there is a conflict between these Terms and a Service Agreement, the Service Agreement controls.
3. Client Responsibilities
To perform the Services you agree to: provide accurate and complete information about your business; grant us the account access we reasonably need (for example to advertising, analytics, business profile, and website accounts); respond to requests in a timely manner; maintain a valid payment method for advertising spend where applicable; and comply with the policies of the platforms we use on your behalf, including Google, Meta, and others. You are responsible for the accuracy and legality of the information about your business that we publish on your behalf, including licenses, service areas, pricing, and guarantees.
4. Advertising Spend and Third-Party Platforms
Unless stated otherwise in a Service Agreement, advertising spend paid to Google, Meta, or any other platform is separate from our management fees and is billed directly by that platform to your payment method. We do not control third-party platforms and are not responsible for their availability, policy decisions, account reviews, suspensions, pricing, or changes. We will make reasonable efforts to keep your accounts in good standing and to assist with appeals where possible.
5. Fees and Payment
Fees are described in your Service Agreement. Unless otherwise stated, management fees are billed monthly in advance and are due upon receipt. Late payments may result in suspension of Services. Fees are non-refundable except as expressly stated in a Service Agreement or required by law.
6. No Guarantee of Results
Marketing outcomes depend on many factors outside our control, including competition, platform algorithms, market conditions, your pricing, availability, and customer service. Case studies, statistics, and examples on the Site describe results achieved for specific clients and are not a promise of results for your business. We do not guarantee rankings, call volumes, lead counts, revenue, or return on ad spend.
7. Intellectual Property
The Site and its content, including text, graphics, logos, images, and software, are owned by Click Smith Pro or its licensors and are protected by copyright and trademark laws. You may not copy, modify, distribute, or create derivative works from Site content without our written permission. Upon full payment, you own the final deliverables created specifically for you under a Service Agreement (such as website designs and ad creative), excluding our pre-existing tools, templates, processes, and know-how, which we may reuse for other clients. We may use your business name and non-confidential results in our portfolio and marketing unless you ask us in writing not to.
8. Confidentiality
Each party will keep the other party’s non-public business information confidential and use it only to perform or receive the Services, except where disclosure is required by law.
9. Term and Termination
The term of any engagement is set out in the Service Agreement. Either party may terminate for material breach if the breach is not cured within 15 days after written notice. Upon termination you remain responsible for fees accrued through the termination date, and we will return account ownership and access to you and provide reasonable transition assistance.
10. Acceptable Use of the Site
You agree not to use the Site to transmit malicious code, attempt to gain unauthorized access to any system, scrape or harvest data, submit false or misleading information, or interfere with the operation of the Site.
11. Disclaimer of Warranties
The Site is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted or error-free.
12. Limitation of Liability
To the fullest extent permitted by law, Click Smith Pro will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or related to the Site or the Services, even if advised of the possibility of such damages. Our total liability for any claim arising out of the Services will not exceed the management fees you paid us in the three months before the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold harmless Click Smith Pro and its owners, employees, and contractors from any claims, damages, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your violation of any law or third-party platform policy, or the content and information you provide to us.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law rules. Any dispute arising out of these Terms or the Services will be resolved in the state or federal courts located in South Carolina, and you consent to the jurisdiction of those courts. Before filing a claim, each party agrees to attempt in good faith to resolve the dispute by contacting the other party.
15. Changes to These Terms
We may update these Terms from time to time. The updated Terms will be posted on this page with a new effective date. Your continued use of the Site or the Services after changes are posted means you accept the updated Terms.
